1. Professional Wellness & Non-Medical Disclaimer

• 1.1 Scope of Service: NovaMynd is a professional platform for Brain Training and Neuro-Acoustic Science. It is designed for wellness optimization and cognitive enhancement.
• 1.2 No Medical Advice: THE SERVICES ARE NOT A MEDICAL DEVICE. NovaMynd does not provide medical advice, diagnosis, or treatment. The Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
• 1.3 Practitioner Responsibility: Practitioners using the platform are solely responsible for the professional application of the tools and for ensuring their use complies with all local laws, regulations, and professional ethical standards.

2. Access and Use

• 2.1 License: NovaMynd grants you a limited, non-exclusive, non-transferable license to access the Services subject to your compliance with this Agreement.
• 2.2 Right to Modify Services: NovaMynd is a dynamic platform. We reserve the right to modify, update, enhance, or discontinue specific features, tools, or portions of the Services at any time, with or without notice. This includes changes to the user interface, available protocols, and technical specifications.
• 2.3 Restrictions: You shall not: (i) copy, modify, or reverse engineer the Services; (ii) use the Services for any illegal purpose; or (iii) infringe upon the intellectual property rights of NovaMynd.

3. Subscriptions and "Space" Model

• 3.1 Subscription Tiers: Access is provided via tiers (Starter, Growth, Practice) which define your "Space" (client capacity).
• 3.2 Billing: Subscriptions are billed in advance on a recurring basis. You authorize NovaMynd to charge your designated payment method for all fees and applicable taxes.
• 3.3 Cancellation: You may cancel at any time. Access continues until the end of the current billing period. No prorated refunds are provided.

4. The NovaUnit Economy ("Energy" Model)

• 4.1 Definition: NovaUnits are digital credits used to power advanced features.
• 4.2 Allocation: Units are provided via monthly plans or one-time top-ups.
• 4.3 Roll-over: Unused NovaUnits roll over to the following month as long as a subscription remains active.
• 4.4 No Cash Value: NovaUnits are non-refundable, have no cash value, and are forfeited upon account termination or service discontinuation.

5. Creator Economy & MyndPoints

• 5.1 Creator Status: Users may apply to become Creators to publish content to the Marketplace.
• 5.2 Revenue Split: Creators receive 70% of the net NovaUnit value of their licensed content in "MyndPoints." NovaMynd retains a 30% platform fee.
• 5.3 Cash-Out: MyndPoints may be converted to NovaUnits or cashed out once the minimum threshold defined in the Dashboard is met.

6. Intellectual Property

• 6.1 Ownership: All content, trademarks, and underlying technology are the exclusive property of Lake Analytics Ltd or its licensors.

7. Beta Features

• 7.1 Beta Testing: NovaMynd may offer "Beta" features. These are provided "as-is" for testing purposes and may contain errors.
• 7.2 No Liability: NovaMynd is not liable for any issues arising from the use of Beta features.

8. Limitation of Liability & Indemnification

• 8.1 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVAMYND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST 12 MONTHS OR 100, WHICHEVER IS GREATER.

9. Discontinuation of Service

• 9.1 Right to Discontinue: NovaMynd reserves the right to permanently or temporarily cease offering the Services at its sole discretion.
• 9.2 Notice of Sunset: In the event of a permanent discontinuation of the Services, NovaMynd will provide at least thirty (30) days' notice via the email associated with your account.
• 9.3 Data Export: During the notice period, users will have the opportunity to export their client data and protocols. Following the discontinuation date, NovaMynd shall have no further obligation to maintain or provide access to user data.
• 9.4 No Liability for Discontinuation: You agree that NovaMynd shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

10. Governing Law

This Agreement shall be governed by the laws of Malta. Any disputes shall be resolved through binding arbitration in Malta.
